Terms of Use — Client Portal

1. Who may use the Portal

1.1 Access is by invitation only. We create an account for a named individual at an organisation that has engaged CRUNCH under a separate engagement agreement ("Engagement"). 1.2 You may use the Portal only on behalf of the organisation that invited you and only for the matters that organisation has opened with us. 1.3 You are responsible for keeping your sign-in email account secure. Sign-in codes and links are personal and must not be shared.

2. Relationship to the Engagement

2.1 These Terms govern use of the Portal as a delivery channel. The scope, fees, deliverables, confidentiality and liability of the work itself are governed by the Engagement. If these Terms and the Engagement conflict, the Engagement prevails. 2.2 Nothing in the Portal constitutes legal, financial, tax or investment advice. Deliverables are prepared under the Engagement for the named organisation and may not be relied on by third parties.

3. What you may upload

3.1 Upload only documents that your organisation is entitled to share with us for the relevant matter. 3.2 Do not upload malware, executables, scripts or password-protected archives. Every upload is scanned; files that fail the scan are quarantined, are not opened by our team and are deleted under the Retention Policy. 3.3 Do not upload special-category personal data (health, biometric, criminal-record data) unless the Engagement expressly covers it and you have the legal basis to share it.

4. Deliverables and versions

4.1 Deliverables are released to the Portal only after review and approval by an authorised CRUNCH reviewer. A released version is final for that request unless a later version explicitly supersedes it. 4.2 Download links are short-lived and personal. Do not forward them; forward the downloaded file under your organisation's own controls.

5. Acceptable use

You must not: probe, scan or test the vulnerability of the Portal; attempt to access another organisation's data; use automated tools to bulk-download; reverse-engineer the Portal; or use the Portal for any unlawful purpose.

6. Availability and changes

6.1 The Portal is provided "as is" as a convenience channel. We aim for high availability but do not guarantee uninterrupted access. Where the Portal is unavailable we will deliver by an alternative agreed channel. 6.2 We may change or discontinue Portal features on reasonable notice. Released deliverables remain available for the retention period in the Retention Policy.

7. Data protection

Processing of personal data in the Portal is described in the Privacy Notice. Where we act as a processor for your organisation, the data-processing terms of the Engagement apply.

8. Suspension and termination

We may suspend an account immediately where we reasonably believe it is compromised or used in breach of these Terms. Access ends when the Engagement ends, subject to the retention period.

9. Liability

To the extent permitted by law, our liability arising from use of the Portal (as distinct from the work under the Engagement) is limited to re-performing the affected delivery. Nothing limits liability for fraud, wilful misconduct or where limitation is not permitted by law. Where the Engagement sets a different cap, the Engagement prevails.

10. The experts

The expertise areas attributed to the experts reflect the background and experience each of them built over a professional lifetime. It is clarified that the platform and/or the experts named do not provide any legal, financial, accounting or other advice, and that any licence they hold is not relevant to the services described here.

11. Governing law and disputes

These Terms are governed by the laws of the State of Israel. Unless the Engagement provides otherwise, the competent courts of Tel Aviv-Jaffa have exclusive jurisdiction.
